Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ModelForge platform (“Service”), operated by ModelForge (“we”, “us”, or “our”) at modelforge.com.au. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using ModelForge, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into a binding agreement. Your continued use of the Service constitutes ongoing acceptance of these Terms and any future amendments.

2. Account Registration

To access certain features of the Service, you must register for an account. Account authentication is provided by Clerk, a third-party identity service. You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. Subscription Plans & Billing

3.1 Plans

ModelForge offers the following subscription tiers:

• Free — $0. Core financial modelling tools with limited project capacity.
• Pro — $29 AUD per month. Full access to all modelling tools, unlimited projects, and priority support.
• Team — $79 AUD per seat per month. All Pro features plus collaborative workspaces and team management.

3.2 Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorise Stripe to charge your designated payment method on a recurring monthly basis. You agree to Stripe’s Terms of Service in addition to these Terms.

3.3 Billing Cycle & Cancellation

Subscriptions renew automatically at the beginning of each billing cycle. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. We do not provide refunds for partial billing periods unless required by applicable law.

3.4 Price Changes

We may adjust pricing from time to time. Any price changes will be communicated to you at least 30 days in advance via email or in-app notification. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Permitted Use

ModelForge is designed for financial modelling, analysis, and valuation purposes. You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal, fraudulent, or harmful activity.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorised access to any systems or networks connected to the Service.
• Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
• Redistribute, sublicense, or resell access to the Service.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all financial models, data inputs, analyses, and other content you create using ModelForge (“User Content”). We do not claim any intellectual property rights over your User Content.

5.2 Our Platform

The ModelForge platform, including its software, design, algorithms, documentation, trademarks, and all associated intellectual property, is and remains the exclusive property of ModelForge. Nothing in these Terms grants you any right, title, or interest in or to the Service beyond the limited right to use it in accordance with these Terms.

5.3 Feedback

If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable licence to use, modify, and incorporate such feedback without obligation to you.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

7. Disclaimers

7.1 Not Financial Advice

ModelForge is a software tool for financial modelling and analysis. The Service does not provide financial, investment, tax, legal, or accounting advice. Any outputs, projections, valuations, or analyses generated by the Service are for informational and educational purposes only. You should not rely solely on outputs from the Service when making financial or investment decisions. Always seek advice from qualified financial professionals before making any investment decisions.

7.2 No Guarantees on Accuracy

While we strive to ensure the accuracy and reliability of the Service, we make no representations or warranties regarding the accuracy, completeness, or suitability of any data, calculations, or outputs generated by ModelForge. Financial modelling involves inherent uncertainties, assumptions, and limitations. The quality of outputs depends on the quality and accuracy of the inputs you provide.

7.3 “As Is” Provision

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ModelForge, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the total amount paid by you to ModelForge in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Australian dollars (AUD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ModelForge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service will immediately cease.
• You remain responsible for any outstanding fees or charges.
• We may, but are not obligated to, delete your account data. We recommend exporting your User Content before termination.
• Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 5, 7, 8, 9, and 12.

You may terminate your account at any time by contacting us or using the account deletion functionality within the Service.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, providing additional notice via email or in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict-of-law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Queensland, Australia.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days.

13. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ModelForge regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
